- Registering with the local Department of Industry and Trade (DOIT), which grants and supervises the RO license;
- Submitting annual activity reports to the DOIT;
- Complying with labor laws, including employment contracts, social insurance registration, and contributions for both local and foreign employees.
Failure to comply with these requirements—such as late reporting or incorrect tax declarations—can result in administrative fines or even license revocation. To ensure compliance, the parent company should establish internal accounting and HR support systems or partner with a local legal or compliance service provider.

In the market exploration phase, a representative office offers a flexible solution for maintaining a legal presence in Vietnam without having to commit capital or meet revenue obligations. However, when business expansion becomes imminent, companies should reassess the suitability of the RO model and consider transitioning to a branch or a foreign-invested enterprise (FIE) for greater operational scope.
