While Vietnam continues to attract strong inflows of foreign direct investment (FDI), many foreign enterprises doing business in Vietnam encounter substantial hurdles when implementing their projects. These challenges stem from legal inconsistencies, complex administrative procedures, and varying interpretations among regulatory bodies. Identifying these bottlenecks in the legal framework is the first step for foreign investors to develop an effective risk mitigation strategy.
Overlapping Laws and Inconsistent Guidance
A common obstacle for foreign investors in Vietnam is the overlap of multiple laws governing the same area without clear alignment. For instance, an investment project may fall under the scope of the Law on Investment, the Law on Enterprises, the Land Law, the Law on Environmental Protection, and various industry-specific regulations. However, these laws may contain differing—or even conflicting—requirements regarding procedures, conditions, or competent authorities.
Compounding the issue, implementation decrees and circulars are often issued inconsistently or with delays, creating uncertainty for both businesses and state agencies in practice. Legal interpretation also varies depending on the locality or the officials handling the case, leading to divergent approaches for the same issue. This raises compliance costs and prolongs project timelines.
Cumbersome and Fragmented Administrative Procedures
Despite efforts by the Vietnamese Government to streamline administrative processes in recent years, licensing and project approval procedures remain multi-layered and complex. Foreign investors typically must interact with multiple agencies at both central and local levels, as there is still no fully integrated “one-stop-shop” mechanism for end-to-end processing.
In many cases, dossier processing takes longer than the statutory time limit due to repeated requests for supplementary documents, content revisions, or the need for consultation between departments. Projects involving land use, environmental clearance, or conditional business lines face additional challenges, as they must meet sector-specific criteria that are not always published transparently.
Inconsistent Application and Enforcement of Laws
Another major challenge lies in the inconsistent application and enforcement of legal provisions across different provinces and cities. While localities all follow national laws, their interpretation and implementation often differ, especially in areas such as land management, construction, and investment licensing—where authority largely rests with local governments.
For foreign investors, this inconsistency adds compliance burdens and undermines predictability and legal certainty. Many enterprises report having to tailor their rollout strategy to each locality, or even resorting to informal lobbying channels to resolve seemingly routine procedures.
Limited Policy Stability and Transparency
A core factor in attracting and retaining FDI is a stable and transparent legal environment. However, in Vietnam, legal provisions may change rapidly without sufficient transition periods, making it difficult for businesses to adapt. Moreover, some newly issued regulations lack proper impact assessment, potentially disrupting ongoing investment activities.
Transparency also remains limited in terms of access to legal information. Many rules are circulated internally only or lack official translations for foreign investors. Without a specialized legal team or reliable local counsel, companies often struggle to understand their rights and obligations fully.
