We would like to provide you some preliminary comments on setting up company in Vietnam as follows:

1. Business model

It is possible to set up Limited Liability Company following your information. The Company should be Sole member limited liability company ( LLC)

2. Business lines of company

It is the most important we need to know before incorporating company, based on your information Vietnam law allows foreign investor to do business in Vietnam with the following categories:

2.1. IT Consultancy

– Developing sofware

– Software consulting services and computer system

– Hardware installation ( Including design, installation, maintenance)

– Data Processing

2.2. Management Consultancy 

– Operations of general management consulting services, including: General management consulting services, financial management consulting services ( EXCEPT for Taxation and business Tax); Marketing management services, HR management consulting services; Production management consulting service.

3. Legal Consultancy

Legal consultancy requires you to have foreign lawyer that has qualified license lawyer and the formality to set up is (i) Foreign Law firm, (ii) Branch of Foreign law firm or (iii) joint venture of limited liability law company between Vietnam partner and Foreign partner. Please confirm me you satisfy this inquiry then we can advise you further.

4. Legal Representative of company

It is required by law that company needs to have at least 01 Director to be legal representative, the Legal rep must be resided in Vietnam 183 days per year. If your partner want to manage remotely the work while he/she is not in Vietnam, you should think about a nominee or someone can work on his/her behalf via a authorization letter.

5. Location of company

It is noted that you prefer Hanoi to register. To save the rental cost, co-working space could be an option for you, otherwise you should think about office building or private house. Apartment building is not allowed to register any business.

6. Our Lawyer fee

For setting up IT consultation Company or Management Consultation company, our legal fee will be USD, it shall take you 30 working days to obtain the license. Fee is included governmental fee but exclusive of 10% VAT, notarization fee, legalization fee, translation fee (USD/ A4page no more than 300 words).

For setting up HR consultation Company, please clarify which services you will carry out in Vietnam then we can give you quotation.
