Arbitration or Court? Choosing the Right Dispute Resolution Mechanism for Your Business

Disputes are an inevitable part of doing business. Choosing the appropriate dispute resolution method—between arbitration and court litigation—can significantly impact the time, cost, legal outcomes, and future commercial relationships of the parties involved.

There is no one-size-fits-all solution. Businesses must understand the characteristics of each mechanism to make informed, strategic decisions tailored to the nature of the dispute.

1. Arbitration: Flexible and efficient, but requires a valid agreement

Commercial arbitration is highly regarded for its flexibility and efficiency, especially in business-to-business disputes and international contracts. Arbitration allows parties to choose the arbitral institution, arbitrators, governing law, language, and seat of arbitration.

However, arbitration can only be used if the underlying contract contains a clear and enforceable arbitration clause. Without such a clause, parties cannot submit disputes to arbitration, regardless of their subsequent consent or preference.

2. Court litigation: Broad jurisdiction and enforceability, but more rigid

Vietnamese courts have jurisdiction over most civil, commercial, and business disputes. A key advantage of court litigation is its mandatory jurisdiction—it does not require a prior agreement—and its clear enforcement mechanisms under the law.

That said, court proceedings often take longer due to multiple levels of adjudication and strict procedural requirements. Many businesses are also concerned about the public nature of trials, which may affect their reputation or expose sensitive information.

Court litigation is also the default option where there is no arbitration agreement or where the dispute involves matters that are legally excluded from arbitration.

3. Key considerations: More than just the value of the dispute

When deciding between arbitration and court litigation, businesses should consider:

  • The nature of the contract (domestic vs. cross-border)
  • The complexity of the dispute and confidentiality requirements
  • The parties’ willingness and ability to cooperate
  • Desired timeline for dispute resolution
  • Enforceability of the decision, especially in foreign jurisdictions

For high-value or cross-border contracts involving complex risks, arbitration is often the preferred option due to its neutrality and the global enforceability of arbitral awards under the New York Convention. Conversely, for simpler, domestic disputes, court litigation may offer a more cost-effective and manageable solution.
